John is vice chair of Cooley’s global business department and a partner in the fund formation practice group. His practice focuses on the representation of domestic and international investment funds – including venture capital, private equity, fund of funds, secondary funds and special opportunity funds in connection with their formation, operation and investment activities. He has represented sponsor organizations in the formation of more than 125 fund programs, ranging from some of the most well-known, multibillion-dollar investment firms to much smaller firms forming seed and early-stage venture capital, angel and similar microcap funds. In addition to his fund formation practice, John also represents a number of emerging growth companies in financing transactions and general corporate matters.

He has been involved on behalf of the sponsor in the formation of hundreds of venture capital or buy-out funds in his career, ranging in size from multibillion-dollar buy-out partnerships to very small early-stage venture capital firms.

Jordan is a fund formation partner and the chair of Cooley’s partner compensation committee. His practice is concentrated on the formation and representation of private investment funds – primarily venture capital and growth equity funds – in the US, Greater Asia, and Middle East and North Africa (MENA) regions. For more than 20 years, Jordan has acted in a leading legal capacity in the raising of more than $110 billion in private fund interests across a multitude of investment areas, primarily focusing on technology and life sciences. He also advises multinational enterprises, including Fortune 500 corporations in the technology, healthcare and aerospace sectors, in the structuring of their corporate venture capital funds and investments in third-party funds. In addition, Jordan is deeply knowledgeable about cross-border regulations applicable to global venture capital funds, particularly those operating in both the US and Asia.
