John is head of the fund formation practice group at Cooley. He focuses on the formation and operation of private equity firms, including venture capital funds, buyout funds, fund-of-funds and investment advisory businesses. He has been involved on behalf of the sponsor in the formation of hundreds of venture capital or buyout funds in his career, ranging in size from multibillion-dollar buyout partnerships to very small early-stage venture capital firms.
John represents domestic and international investment funds, including venture capital, private equity, fund-of-funds, secondary funds and special opportunity funds in connection with their formation, operation and investment activities. He has represented sponsor organizations in the formation of over 50 fund programs, ranging from some of the most well-known multi-billion dollar investment firms to much smaller firms forming seed and early-stage venture capital, angel and similar microcap funds. In addition to his fund formation practice, John also represents a number of emerging growth companies in financing transactions and general corporate matters.
Shane specializes in all aspects of the formation and operation of domestic and international investment funds, including, venture capital, private equity, fund-of-funds, secondary market, debt and a variety of other types of funds. He has represented sponsor organizations in the formation of over 150 fund programs, ranging from some of the most well known multi-billion dollar venture capital and leveraged buy-out funds to much smaller firms forming early-stage venture capital, angel, pledge and similar micro-funds with just several million dollars in committed capital. Shane also regularly works with and advises accelerator and incubator firms with respect to their organizational, operational and fund formation matters.
Jordan concentrates on the formation and representation of private investment funds, primarily venture capital and private equity funds in the US, Greater Asia and globally. He serves as primary fund counsel to 60+ fund managers, and he has acted in a leading legal capacity over the last nearly 20 years in the raising of more than $50 billion in private fund interests.
